Welcome to Wisdom Valley's products and services. Before using our software products, please be sure to read and understand these Terms of Service carefully. By starting to use our products or services, you agree to be bound by all the contents of these terms.

I. Software Licensing Models

Our software products use two licensing models:

1. Subscription-based Software

  • Definition: Software products that use a periodic billing model, where users subscribe on a monthly, quarterly, or annual basis.
  • Representative Products: Knowlify AI, Smart Invest
  • Purchase Method: No need to purchase an activation code separately; pay through the subscription process within the software interface after downloading.
  • Duration of Use: Functions normally during the subscription period; functionality will be limited after the subscription expires.
  • Renewal Policy: The system will remind you to renew before the subscription expires; users can choose whether to renew.

2. License-based Software

  • Definition: Software products purchased with a one-time permanent license or a fixed-term license.
  • Representative Products: Planet Helper, Evernote Helper, etc.
  • Purchase Method: Submit an order through the Store page and receive an authorization code after payment.
  • Duration of Use: Depends on the specific product; some products are permanent licenses, while others are fixed-term licenses (e.g., 1-year, 2-year, or 3-year authorizations).

Classification of License-based Software:

Triable Software:

  • After the order is successfully created, the system automatically sends a trial authorization code to your email.
  • Experience the full functionality of the software during the trial period.
  • Purchase a formal authorization code after you are satisfied.

Non-triable Software:

  • You must pay before receiving a formal authorization code.
  • Please read the product's functional descriptions and user manuals carefully before placing an order.

II. Refund Policy

Important Reminder

To protect both the user experience and developer rights, please fully understand the product features before purchasing.

1. Right to Refund (14-Day Window)

If you are a consumer, you have the right to cancel your purchase and request a refund within 14 days of the transaction date without giving any reason.

2. Exceptions to the Right to Refund

Your right to cancel and receive a refund does not apply in the following cases:

  • Digital Content Usage: The supply of digital content (such as authorization codes) that you have already started to download, stream, or otherwise acquire and have benefited from.
  • Subscription Services: In respect of subscription services, your right to cancel is only present following the initial subscription and not upon each automatic renewal.

3. Subscription Cancellation

  • Initial Subscription: You can cancel within the first 14 days as described above, unless you have already started using the premium features.
  • Ongoing Subscriptions: You can cancel your subscription at any time. The cancellation will take effect at the end of the current billing cycle, and you will not be charged for the next period. Paid fees for the current period are generally non-refundable.

4. Refund Application Process

If you meet the refund conditions, please contact us via our WeChat Official Account and provide:

  • Order information (email, order number, etc.)
  • Proof of payment
  • A brief description of the reason for the refund (optional, to help us improve)

III. Software License Agreement

1. Scope of Authorization

  • Individual Users: Authorization codes are for the purchaser's personal use on a reasonable number of devices.
  • Business Users: If you need to use the software on multiple devices or in a multi-user environment, please contact us for corporate licensing solutions.
  • It is forbidden to share, transfer, or sell authorization codes to others.

2. Usage Restrictions

When using our software, you shall not:

  • Reverse engineer, decompile, or disassemble the software.
  • Remove or modify copyright notices or other proprietary notices in the software.
  • Use the software for activities that violate laws and regulations.
  • Use the software for any commercial secondary development or resale.

3. Intellectual Property

  • Intellectual property rights for all our software products and related documentation belong to Wisdom Valley Tech.
  • What users purchase is the right to use the software, not ownership.
  • Unauthorized copying, distribution, or other use of our software and related content is prohibited.

IV. Data and Privacy Protection

1. Localized Data Processing

Our core product design philosophy is Data Localization:

  • Second Brain Project: Supports localized processing of massive amounts of data, ensuring that private data is not leaked to the public network.
  • Knowlify AI: All knowledge base data is stored locally; for AI processing, you can choose local models or cloud APIs.
  • Planet Helper, Evernote Helper: Synchronize your data locally for offline storage.

2. Data Collection Description

  • Necessary Data: To provide services, we may collect necessary device information and usage statistics (anonymized).
  • Cloud Services: If using functions that require cloud APIs (such as online AI models), relevant data will be sent to third-party API providers; please refer to their privacy policies.
  • Data Not Collected: We do not actively collect or upload your personal files, note content, knowledge base data, or other sensitive information.

3. Third-party Services

Some functions may rely on third-party services (such as AI model APIs, video download services, etc.):

  • When using these functions, relevant data may be sent to third-party service providers.
  • We will clearly identify in the software which functions involve third-party services.
  • Data processing by third-party services follows their own privacy policies.

4. Data Security

  • We take reasonable technical and management measures to protect user data.
  • It is recommended that you back up important data regularly.
  • In the event of a data breach, we will notify affected users promptly.

V. Disclaimer

1. Service Availability

  • We are committed to providing stable and reliable software, but we do not guarantee 100% fault-free operation.
  • Software services may be suspended for maintenance, upgrades, or force majeure.
  • Functions depending on third-party services may be interrupted due to third-party reasons.

2. Data Loss

  • Although our software design emphasizes data security, it is recommended that you back up important data regularly.
  • We are not responsible for data loss caused by improper user operation, equipment failure, force majeure, etc.

3. Third-party Platforms

  • For functions involving downloading or synchronizing data from third-party platforms (such as Knowledge Planet, Evernote, YouTube, Bilibili, etc.), please ensure you have the right to access and use this data.
  • Policy changes by third-party platforms may affect relevant functions of our software; we will try our best to adapt but do not guarantee continuous availability.
  • When using our software to access third-party platforms, please comply with the terms of service of the third-party platforms.

4. Investment Risk

Smart Invest is only an investment auxiliary tool. The data and analysis provided are for reference only and do not constitute any investment advice. Investment decisions and risks are borne by the user. We are not responsible for any investment losses resulting from the use of this software.

VI. Software Updates and Maintenance

1. Version Updates

  • We will release software updates from time to time to fix bugs and add new features.
  • Subscription-based Software: All updates are available for free during the subscription period.
  • License-based Software: All updates are available for free within the license's validity period.

2. Technical Support

  • We provide technical support and consulting through our WeChat Official Account and email.
  • Support Hours: Workdays 9:00-18:00 (China Time).
  • Response Time: We will reply as soon as possible, usually within 24 hours.

VII. Changes to Terms

We reserve the right to modify these Terms of Service at any time. After the terms change:

  • We will publish the new version of the terms on the website.
  • Continued use of our services indicates that you accept the changed terms.
  • Major changes will be notified to users via email or in-software notifications.

VIII. Governing Law and Dispute Resolution

1. Governing Law

The interpretation, validity, and resolution of disputes concerning these Terms of Service shall be governed by the laws of the People's Republic of China.

2. Dispute Resolution

Should any dispute arise between the parties regarding the content or execution of these terms, both parties should seek a friendly negotiation. If a settlement cannot be reached, either party may file a lawsuit in the People's Court with jurisdiction over our location.
